Terms of Service
Last Updated: October 18, 2026
1. Acceptance of Terms
By accessing, browsing, or using LookingForward.AI (the "Service"), operated by LookingForward.AI ("Company", "we", "our", or "us"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"), together with our Privacy Policy, which is incorporated by reference. If you do not agree to all of these Terms, you must not access or use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Description of Service
LookingForward.AI provides an AI-powered platform that transforms model specifications into deployable software applications. The Service includes, but is not limited to, specification analysis, code generation, application preview, validation, mobile application builds, cloud deployment, and related tools and features. The specific features and functionality of the Service may change over time as we continue to develop and improve the platform.
3. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are under 18, you may not use or access the Service under any circumstances.
4. User Accounts
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, whether or not authorized by you.
One account, one person. Accounts are personal to the individual who registers them and may not be shared. You may not disclose your password or account credentials to any other person, allow anyone else to access or use the Service through your account, or use an account registered to someone else. Two or more people may not use a single account, whether simultaneously or at different times. If more than one person needs access to the Service, each person must have their own account — on a Team plan, that means a separate seat for each individual.
We may treat indicators of shared or concurrent use — including simultaneous sessions, use from locations that a single person could not plausibly travel between in the elapsed time, or patterns of access inconsistent with a single individual — as evidence of a breach of this section. Where we identify such use, we may require additional seats, suspend access, or terminate the account, and we may withhold or revoke AI credits associated with the breach.
You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, misleading, or incomplete, if your account is shared in breach of this section, or if we suspect unauthorized or fraudulent use of your account.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:
- Generate malicious code, malware, viruses, or any software designed to harm, disrupt, or gain unauthorized access to systems, networks, or data
- Violate any applicable local, state, national, or international law, regulation, or ordinance
- Infringe upon or violate the intellectual property rights, privacy rights, or any other rights of third parties
- Attempt to gain unauthorized access to the Service, other user accounts, or any related systems or networks
- Interfere with, disrupt, or place an unreasonable burden on the Service, servers, or networks connected to the Service
- Use the Service to generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Use the Service for any purpose that is competitive with or detrimental to LookingForward.AI
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Service
- Use automated means (bots, scrapers, crawlers) to access the Service without our prior written permission
- Circumvent, disable, or interfere with any security features or usage limits of the Service
- Resell, sublicense, or redistribute the Service or access to the Service to third parties without our prior written consent
- Use the Service to build a competing product or service
- Select a hosted application name that impersonates another person or organization, is obscene or hateful, or is otherwise prohibited under Section 5.1
We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates these provisions, including removing content, suspending or terminating accounts, and reporting violations to law enforcement.
5.1 Hosted Application Names
Applications published through our hosting are served from a name you choose within a domain we own and control (for example, your-app.lookingforward.ai). Because that name appears under our domain and is presented to the public using our security certificates, names are drawn from a shared namespace that we administer. You may not select, request, or use a name that:
- Impersonates, or is likely to be mistaken for, LookingForward.AI, our staff, or any part of our infrastructure or official communications
- Impersonates, or is confusingly similar to, any other person, business, product, or brand you are not authorized to represent, or that infringes any trademark or other right of a third party
- Is obscene, profane, sexually explicit, hateful, harassing, or promotes violence or discrimination against any individual or group
- Is reserved for the technical operation of the Service, including protocol, infrastructure, and well-known hostnames
- Is selected principally to resell, warehouse, or otherwise trade in names rather than to operate an application, or is registered in bulk for that purpose
- Is intended to deceive visitors as to the origin, affiliation, or legitimacy of the application, including for phishing or other fraud
We apply automated checks when a name is chosen. Those checks are a filter, not a determination: a name that passes them is not approved, endorsed, or warranted by us as available or permissible, and remains subject to this section at all times.
No ownership of names. A hosted application name is a revocable permission to use part of our domain for as long as you comply with these Terms. It is not property, you acquire no ownership, trademark, or other proprietary interest in it, and it may not be sold, transferred, assigned, leased, or sublicensed to any other person.
Our rights. We may refuse, reclaim, withdraw, rename, or reassign any hosted application name at any time and in our sole discretion, including after the name has been assigned to you and including where the name passed our automated checks when it was chosen. Where we do so for reasons other than abuse, fraud, or a legal requirement, we will make reasonable efforts to notify you in advance and to allow you to select a replacement name. Changing a name will change the address at which your application is reached, and you are responsible for updating any references to the previous address. We are not liable for any loss arising from the refusal, reclamation, or change of a name.
If you believe a hosted application name infringes your rights or violates this section, please report it to us at help@lookingforward.ai (subject line: "Hosted Name Report") with the name in question and the basis for your report.
6. AI-Generated Content
The Service utilizes artificial intelligence and machine learning technologies, including third-party AI providers, to generate code, application structures, and other content based on your inputs. You acknowledge and agree that:
- AI-generated output may contain errors, inaccuracies, bugs, security vulnerabilities, or other defects and may not fully meet your specific requirements or expectations
- You are solely responsible for reviewing, testing, validating, and ensuring the suitability of all AI-generated content before deploying, publishing, or using it in any production or commercial environment
- We make no representations or warranties regarding the accuracy, completeness, reliability, quality, fitness for purpose, or security of any AI-generated output
- AI-generated content may inadvertently resemble or include patterns from publicly available code or content; it is your responsibility to ensure compliance with applicable licenses and intellectual property rights
- You assume all risks and liabilities associated with the use, deployment, and distribution of AI-generated content
7. Intellectual Property
7.1 Your Content
You retain ownership of the specifications, prompts, data, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, process, adapt, and display your User Content solely to the extent necessary to operate, provide, improve, and maintain the Service. This license survives termination of your account only to the extent necessary for us to complete ongoing operations.
7.2 Generated Output
The deployable project the Service produces for you ("Generated Output") is a combination of three things with different owners:
- Your User Content within it, which you own (Section 7.1).
- Your project-specific configuration and the code generated from your specifications, which you own to the extent permitted by applicable law, subject to Section 7.6.
- Platform Code within it, which we own (Section 7.3) and license to you (Section 7.4).
You acknowledge that: (a) similar outputs may be generated for other users who provide similar inputs; (b) Generated Output may incorporate open-source components or third-party libraries subject to their respective licenses, which travel with the code and are not altered by these Terms; and (c) we do not guarantee the uniqueness or originality of any Generated Output.
7.3 Platform Code
"Platform Code" means all software authored by or for us and supplied to you as part of Generated Output, including the administrative backoffice and its supporting libraries, the common modules, shared layouts, page templates, seed data, and build and deployment tooling, together with any updates to them. Platform Code is and remains our exclusive property and is protected by applicable intellectual property laws. This is true whether it is delivered as source, deployed to our hosting or to your own infrastructure, exported to your source-control account, or modified by you. If you modify Platform Code, you own the expressive content of your modification but not the underlying Platform Code, and a modification remains a derivative of Platform Code.
The Service itself — its technology, design, user interface, branding, logos, documentation, and all underlying algorithms, models, and infrastructure — is likewise the exclusive property of LookingForward.AI. Nothing in these Terms grants you any right, title, or interest in or to the Service or in Platform Code except the license expressly set out in Section 7.4.
7.4 Your License to Platform Code
Subject to these Terms, we grant you a worldwide, non-exclusive, royalty-free, perpetual and irrevocable license to: (a) use, host, execute, and publicly display the Generated Output, including the Platform Code within it, to operate your own business; (b) modify it for that purpose; (c) transfer the Generated Output as a working website or application to a person who acquires your business or the site itself, or to an end client for whom you built it, provided that recipient is bound by terms no less protective of Platform Code than Sections 7.5 and 7.7; and (d) retain and continue to operate the Generated Output after your subscription ends, subject to Section 7.8. This license survives termination of your account.
7.5 Restrictions on Platform Code
You must not, and must not permit any third party to:
- sell, rent, lease, lend, sublicense, publish, or otherwise distribute Platform Code as software — including as a template, theme, starter kit, boilerplate, component library, SDK, or training material — whether standalone, bundled, modified, or as part of a competing offering. Transfer of a working site under Section 7.4(c) is not a breach of this clause;
- use Platform Code to build, train, or operate a product or service whose primary function is generating or hosting websites or applications;
- remove, obscure, or alter any proprietary notice, license header, or attribution in Platform Code, including the ownership notice placed in exported repositories;
- represent the Generated Output as being wholly original to you, or as having been authored exclusively for you; or
- register, or attempt to register, any copyright, trademark, patent, or other right in Platform Code, or in any part of the Generated Output that consists of Platform Code.
7.6 No Guarantee of Uniqueness or Originality
Generated Output is produced in part from shared Platform Code and shared generation systems. We do not guarantee the uniqueness or originality of any part of Generated Output. Some elements — including layouts, components, copy structures, page arrangements, and administrative interfaces — may be similar or identical to those supplied to other customers, including customers in the same industry or geographic market, and including your competitors. We are under no obligation to make any Generated Output exclusive, distinctive, or different from that supplied to any other customer. You may commercially exploit the Generated Output, but must not represent to any third party that it is exclusive, bespoke, or wholly original to you. If you build sites for your own clients, you are responsible for making an equivalent disclosure to them.
Your User Content — your brand, copy, photographs, product and service data, pricing, and the records in your project database — is yours, and we do not supply it to any other customer. No statement in any marketing material, help article, product interface, or other communication represents that Generated Output is unique, exclusive, or wholly owned by you; where any such statement conflicts with this Section 7, this Section governs.
7.7 Claims Over Shared Code
You will not assert any copyright, design right, trade dress, or other intellectual-property claim against us or against any other customer of the Service where the claim arises from or relates to Platform Code, or to similarity produced by shared Platform Code or shared generation systems. This does not restrict a claim founded on your own User Content — for example, another customer copying your photographs, brand name, or written copy; similarity in code, layout, or structure supplied by us is not such a claim. Every customer is bound by an equivalent covenant, and each customer is an intended third-party beneficiary of this Section 7.7 and may enforce it directly.
7.8 Updates to Platform Code and Modifications
We may update Platform Code, including the backoffice, at any time; updates are applied when you deploy. Where you have modified Platform Code, we preserve the modification where we can, and may override it where necessary for security or for compatibility with our current database schema or services. You acknowledge that we are not obliged to preserve modifications in those cases, and that a preserved modification may later cease to function as the surrounding Platform Code and database schema change. Support, and the warranties and remedies in these Terms, apply to Platform Code as we supplied it; where you modify Platform Code, you are responsible for the consequences, including incompatibility with later updates, and we have no obligation to support, maintain, or repair modified Platform Code.
7.9 Platform Hosting
"Platform Hosting" is our optional service of running your Generated Output on infrastructure we operate, at a name under a domain we control (see Section 5.1). It is distinct from deploying the Generated Output to infrastructure of your own, which your license under Section 7.4 always permits. Platform Hosting is available only for projects running unmodified Platform backoffice code: cosmetic modifications (text, labels, styling) do not affect eligibility; functional modifications do. A project that is ineligible retains the full Section 7.4 license and may be deployed to infrastructure of your choosing. You may restore eligibility at any time by either (a) reverting the backoffice to the version we supplied, or (b) instructing us to overwrite your functional modifications, in which case we will identify the affected files before acting and retain a retrievable copy of the overwritten content for thirty (30) days. No live service is withdrawn under this Section: eligibility is determined when you submit modified code, before deployment, and a running project continues on its current version until you choose a route above.
Where we host your project, we take automated database backups before each deployment and retain a limited number of recent snapshots. This is an operational safeguard, not a data-archival service, and does not displace your own responsibility to maintain backups. Where you host the project on your own infrastructure, backups are entirely your responsibility.
8. Payment and Subscriptions
Certain features of the Service require a paid subscription or credits. By subscribing or purchasing credits, you agree to pay all applicable fees as described at the time of purchase. All fees are stated in U.S. dollars unless otherwise indicated.
- Recurring Billing: Subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.
- Price Changes: We may change subscription fees at any time. If we increase fees, we will provide you with at least 30 days' prior notice. The new pricing will take effect at the start of your next billing cycle after the notice period.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds or credits will be issued for partial billing periods, unused time, or unused credits, except as required by applicable law.
- AI Credit Limit: Paid plans include AI credits each billing period, and unused credits carry over. However, each account can hold only a limited number of unused credits at one time. The limit counts included and purchased credits together, and depends on your plan, on whether your account is less than 30 days old, and, on the Team plan, on the number of seats. If a monthly grant would take your account over the limit, we add only the credits that fit, and the rest of that grant is not added later. We never remove credits you already hold to meet the limit. A credit purchase that would go over the limit is declined before you are charged.
- Failed Payments: If a payment fails, we may suspend or limit access to paid features until payment is successfully processed. We reserve the right to terminate your account after repeated payment failures.
- Taxes: You are responsible for all applicable taxes associated with your use of the Service, except for taxes based on our net income.
9. Service Availability and Modifications
We strive to maintain reliable access to the Service, but we do not guarantee uninterrupted, error-free, or continuous availability. The Service may be temporarily unavailable due to scheduled maintenance, updates, system failures, or circumstances beyond our control.
We reserve the right to modify, update, suspend, or discontinue any part of the Service (including features, functionality, or content) at any time, with or without notice, and without liability to you. We are not obligated to provide any particular feature or to maintain backward compatibility with previous versions of the Service.
10. Beta and Experimental Features
We may offer certain features designated as "beta", "preview", "experimental", or similar labels. These features are provided on an "as-is" basis without any warranties, may contain bugs or errors, and may be modified or discontinued at any time without notice. Your use of beta features is at your own risk, and we bear no liability for any issues arising from their use.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LOOKINGFORWARD.AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR USE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, AI-GENERATED CONTENT, OR ANY THIRD-PARTY SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL CONTENT, FEATURES, AI-GENERATED OUTPUT, AND FUNCTIONALITY, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OR OUTPUT OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, COMPLETE, OR SUITABLE FOR ANY PURPOSE; (D) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE IS FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
YOU EXPRESSLY ACKNOWLEDGE THAT AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR DEFECTS, AND YOUR RELIANCE ON SUCH CONTENT IS AT YOUR SOLE RISK.
13. Indemnification
You agree to indemnify, defend, and hold harmless LookingForward.AI, its affiliates, officers, directors, employees, agents, partners, and licensors from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to: (a) your access to or use of the Service; (b) your User Content or any applications you create, deploy, or distribute using the Service; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party rights; or (e) any dispute between you and a third party related to the Service or AI-generated content.
14. Third-Party Services and AI Providers
The Service relies on third-party service providers, including but not limited to cloud infrastructure providers, artificial intelligence and machine learning providers, payment processors, and analytics services. Your use of the Service is subject to the following:
- AI Provider Terms: The AI models and services used to generate content through the Service are provided by third-party AI providers. These providers may impose their own terms, usage policies, and content restrictions. You agree to comply with all applicable third-party AI provider terms as they relate to your use of the Service. We will make reasonable efforts to inform you of material restrictions, but it is your responsibility to ensure that your use of AI-generated output complies with applicable third-party terms.
- Provider Changes and Availability: We may change, add, or remove third-party providers at any time without notice. If a third-party provider blocks, restricts, or modifies access to their services, it may affect the availability or functionality of portions of the Service. We are not liable for any disruption, limitation, or change in the Service caused by third-party provider actions.
- Data Processing by Third Parties: When you use the Service, your input data may be transmitted to and processed by third-party providers as necessary to deliver the requested functionality. We require our providers to maintain appropriate confidentiality and security measures, but we cannot guarantee that third-party providers will not process data in accordance with their own privacy policies and terms.
- Third-Party Liability: We are not responsible for the acts or omissions of any third-party provider, including any errors, outages, data loss, content filtering, or policy enforcement actions taken by such providers.
15. Copyright Infringement and DMCA
We respect the intellectual property rights of others and expect our users to do the same. If you believe that any content available through the Service infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) containing the following information:
- A physical or electronic signature of the copyright owner or a person authorized to act on their behalf
- Identification of the copyrighted work claimed to have been infringed
- Identification of the material that is claimed to be infringing, with sufficient detail to allow us to locate it
- Your contact information, including name, address, telephone number, and email address
- A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
DMCA notices should be sent to our designated copyright agent at: help@lookingforward.ai (subject line: "DMCA Notice"). Upon receipt of a valid DMCA notice, we will respond in accordance with applicable law, which may include removing or disabling access to the allegedly infringing material.
Repeat Infringers: We maintain a policy of terminating the accounts of users who are repeat copyright infringers in appropriate circumstances.
Counter-Notice: If you believe that material you posted was removed or disabled by mistake or misidentification, you may submit a counter-notice with the required information under 17 U.S.C. § 512(g). We will process counter-notices in accordance with the DMCA.
16. Termination
We may terminate your access to the Service under the following circumstances: (a) immediately and without prior notice for violations of these Terms, fraudulent or illegal activity, or conduct that threatens the security or integrity of the Service; or (b) with thirty (30) days' prior notice for any other reason, provided where practicable. Your access also ends when a subscription you have cancelled reaches the end of its paid period.
Termination is immediate and complete. When an account is terminated, everyone on it — including every team member — is signed out and cannot sign in again, and any application we host for you stops being served. We do not operate a partial, reduced, or read-only mode: there is no state in which a terminated account can still be used.
You may terminate your account at any time by contacting us or through your account settings. Termination of your account does not relieve you of any obligation to pay accrued fees or any liability arising prior to termination.
16.1 Your Data Archive
Because termination ends access immediately, we do not ask you to retrieve your data through the Service — you would be unable to. Instead, when your account is terminated (whether by you, by us, or by a subscription reaching the end of its paid period, except in cases of termination for abuse, fraud, or illegal activity), we prepare an archive of your data and email a download link to the address on the account. No sign-in is required to use it.
The link opens a page listing one archive per project. Each archive contains that project's specification, its complete source code, images you uploaded, files uploaded by your users to an application we host for you, and the most recent database backup we hold for it — together with instructions for running the project and restoring its database. Where a project was deployed to infrastructure of your own rather than ours, we hold neither its database backup nor its user uploads; that data is in your own account, and the archive says so rather than leaving you to discover it.
Each project archive may be downloaded twice, and the page stops working thirty (30) days after it is issued. Viewing the page itself costs nothing, so you may return to it and choose what to take. These limits exist because the archives contain your complete source code and data, and a link that never expires is a lasting risk to you if the email is forwarded or intercepted. Downloads are served in a form that can be resumed, so an interrupted transfer does not count against you. Please save the files rather than relying on the link; if you need an archive again after the page has lapsed, contact us at help@lookingforward.ai.
After the Retrieval Period expires, we may permanently delete all of your User Content, account data, and associated content from our active systems. We may retain certain information as required by law, for legitimate business purposes (such as fraud prevention), or as necessary to enforce our rights. Backup copies may persist in our systems for a reasonable period before being overwritten in the normal course of operations.
16.2 Survival
Upon termination, your right to use the Service will immediately cease. Any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 7 (Intellectual Property), 11 (Limitation of Liability), 12 (Disclaimer of Warranties), 13 (Indemnification), 17 (Dispute Resolution), and 19 (General Provisions).
17. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.
17.1 Informal Resolution First
Before initiating any formal dispute proceeding, you agree to first contact us at help@lookingforward.ai and attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email. If the dispute is not resolved within sixty (60) days of the initial notice, either party may proceed as set forth below.
17.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and LookingForward.AI (collectively, "Disputes") that is not resolved through informal resolution shall be resolved exclusively through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect, except as modified by this section. The AAA Rules are available at www.adr.org.
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights or to prevent irreparable harm pending the outcome of arbitration.
17.3 Arbitration Procedures
- Venue: The arbitration shall be conducted in the county where you reside (for individual consumers) or in New Castle County, Delaware (for business entities). Alternatively, the arbitration may be conducted by telephone, video conference, or based on written submissions, as agreed by the parties or determined by the arbitrator.
- Arbitrator: The arbitration will be conducted by a single arbitrator selected in accordance with the AAA Rules. The arbitrator shall have the authority to award any remedy that would be available in court, but only to the extent necessary to resolve the individual claim.
- Fees and Costs: If you are an individual consumer, we will pay all AAA filing fees and arbitrator fees in excess of the amount you would have paid to file a claim in the court of your jurisdiction. Each party shall bear its own attorneys' fees and costs unless the arbitrator determines that applicable law entitles the prevailing party to recover such fees.
- Confidentiality: The arbitration proceedings, including any filings, evidence, and awards, shall be kept confidential by both parties, except as necessary to enforce an arbitration award or as required by law.
17.4 Class Action Waiver
YOU AND LOOKINGFORWARD.AI AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise in writing, the arbitrator may not consolidate or join more than one person's claims and may not preside over any form of class, consolidated, or representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void, and the dispute shall proceed in court.
17.5 Small Claims Court
Notwithstanding the above, either party may bring an individual action in small claims court in the county where you reside (or, for business entities, in New Castle County, Delaware), provided the claim falls within the jurisdiction of that court. If the claim is transferred or appealed to a court of general jurisdiction, the arbitration agreement shall apply.
17.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to help@lookingforward.ai within thirty (30) days of the date you first create an account on the Service. Your opt-out notice must include your full name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, neither party is precluded from seeking relief in court pursuant to Section 18 (Governing Law). Opting out of arbitration will not affect any other provisions of these Terms.
17.7 Limitation on Claims
To the extent permitted by applicable law, any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. To the extent that litigation is permitted under these Terms (including if the arbitration provision is found unenforceable), you consent to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.
If you are a consumer in a jurisdiction where mandatory local consumer protection laws apply, nothing in these Terms limits or overrides those rights. The mandatory consumer protection laws of your jurisdiction will apply to the extent required.
19. Data Processing for Business Users
If you are using the Service on behalf of a business, organization, or other entity that processes personal data through the Service, additional data processing terms may apply:
- Data Processing Addendum (DPA): For business users who require a formal Data Processing Addendum to comply with applicable data protection laws (including GDPR, CCPA, and similar regulations), we offer a DPA upon request. The DPA will govern the processing of personal data that you submit to or process through the Service, and will form part of these Terms. To request a DPA, please contact us at help@lookingforward.ai.
- Subprocessors: We use third-party subprocessors to assist in providing the Service, including cloud infrastructure, AI processing, and analytics providers. A list of our current subprocessors is available upon request. We will notify business users of material changes to our subprocessor list and provide an opportunity to object to new subprocessors.
- Data Controller/Processor Roles: For User Content and data you submit to the Service, you act as the data controller and we act as a data processor. For account data and usage data we collect directly, we act as the data controller.
- Security Measures: We implement appropriate technical and organizational measures to protect personal data processed through the Service, as described in our Privacy Policy and any applicable DPA.
20. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LookingForward.AI regarding the Service and supersede all prior agreements, understandings, and communications.
- Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms freely without restriction.
- Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, labor disputes, government actions, power failures, Internet or telecommunications failures, or third-party service provider outages.
- Notices: We may provide notices to you by email, through the Service, or by posting on our website. Notices to us should be sent through our Help Center, by email to help@lookingforward.ai, or by post to LookingForward.AI, 1401 21st ST, STE R, Sacramento, CA 95811, United States.
- Service and Product Emails: We send two kinds of email. Service emails — billing, receipts, security notices, account activity, and anything required to operate your account — are part of the Service and cannot be switched off while your account is open. Product emails — occasional updates about new features, changes to the Service, and guidance on getting more from it — are sent to the address on your account because you are a customer, not because you joined a mailing list. You may stop product emails at any time, immediately and at no cost, using the unsubscribe link in any one of them or by emailing help@lookingforward.ai; we honour the request for that address permanently, including if you later open a new account with it. Opting out of product emails does not affect service emails.
- Export Compliance: You agree to comply with all applicable export and import laws and regulations in connection with your use of the Service.
- No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.
- Survival: Any provisions of these Terms that by their nature should survive termination or expiration shall continue to be binding and enforceable after such termination or expiration.
21. Modifications to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date and notify you by posting a notice on the Service or by other appropriate means. Your continued use of the Service following the posting of revised Terms constitutes your acceptance of those changes. If you do not agree with the modified Terms, you must stop using the Service.
22. Contact Us
